These terms are updated periodically; the version applicable to a contract is the one in force on the date the quote is signed.
These General Terms and Conditions ("GTC") govern the pest control services (rodent control, insect control, disinfection, pigeon control, timber treatment, roof cleaning, monitoring and consultancy) offered by Monaco Pest Solutions SARL ("MPS") to the Client. Any order implies full and unreserved acceptance of these GTC, which shall prevail over any prior or conflicting document issued by the Client.
1. Identification of the Service Provider
Monaco Pest Solutions SARL, SARL incorporated under Monegasque law, registered office in the Principality of Monaco (29 Boulevard Rainier III, 98000 Monaco). Registered with the Trade Register (RCI) under no. 26S10394. Intra-EU VAT : FR13000196005. Certibiocide No. 121134, valid until 04/03/2031. Valid professional civil liability insurance.

2. Purpose
The purpose of these GTC is to define the conditions under which MPS performs for the Client any pest control service, consultancy, HACCP audit, installation of monitoring devices, drafting of regulatory reports and any related service.
3. Quotation and Order
Every service is the subject of a detailed quotation, provided free of charge and without obligation, valid for 30 days unless otherwise stated. The order becomes firm upon signature of the quotation (handwritten or electronic, in accordance with the applicable standards) or upon payment of a deposit.
4. Prices
The prices set out in the quotation are expressed in euros. Full details, including the taxes and charges applicable at the time of invoicing, appear on the signed quotation and on the invoice.
5. Payment Terms (private clients)
Invoices are payable upon receipt. Accepted means of payment: (i) SEPA bank transfer, (ii) payment card (secure payment via Core by Carlo), (iii) Apple Pay via the Carlo application, (iv) bank cheque, (v) cash (within the statutory limit in force). In the event of late payment, the private Client shall be liable for interest at the statutory rate in force, following a formal demand for payment that has remained unsatisfied for fifteen (15) days.
6. Performance of the Services
MPS performs the services with the care and professionalism expected of an expert service provider, in strict compliance with biocide regulations (authorised biocidal products, regulatory labelling, dosages recommended by the manufacturer, observance of re-entry intervals). Interventions are carried out by technicians holding a valid Certibiocide certificate.
7. Obligations of the Client
The Client undertakes to: (i) inform MPS of any anomaly observed between two visits, (ii) refrain from moving or handling the devices installed, (iii) report the presence of children, domestic animals or vulnerable persons, (iv) strictly observe the re-entry intervals indicated after treatment, (v) retain the documents provided (safety data sheets, biocide register, intervention reports), (vi) allow access to the site on the agreed dates.
8. Enhanced Best-Endeavours Commitment
Pest control services are subject to an enhanced best-endeavours obligation. MPS deploys all the protocols, authorised products, devices and technical expertise necessary to ensure the effectiveness of the intervention, but cannot guarantee an absolute result owing to factors beyond its control (mobility of species, site conditions, the Client's conduct, external re-infestation).
9. Liability
MPS's contractual liability is limited to direct and material damage resulting from proven fault, capped at the total amount paid by the Client over the preceding twelve (12) months. MPS cannot be held liable for indirect damage (loss of business, damage to reputation, loss of opportunity, etc.). This limitation does not apply in the event of gross negligence, wilful misconduct or personal injury.
10. Right of Withdrawal (private clients — France only)
**Applicable in France only.** Monegasque private clients conclude the contract on Monegasque territory: the French right of withdrawal does not apply and Monegasque law imposes no equivalent period. The contract is firm upon signature of the quotation.
11. Force Majeure
Neither party may be held liable for a failure to perform its obligations resulting from an event of force majeure within the meaning of the applicable French Civil Code provisions (French, or the Monegasque equivalent), including in particular: natural disaster, epidemic, major public health event, general strike, blockage of the Principality (Monaco Grand Prix, international summits), loss of access to the ports, decision of a public authority, or a cyberattack paralysing the service provider's systems. The prevented party shall inform the other party as promptly as possible. Performance deadlines shall be automatically extended by the duration of the impediment.
12. Subcontracting
MPS reserves the right to engage, under its sole responsibility, a qualified subcontractor holding the required certifications (in particular Certibiocide) for the performance of all or part of the service. MPS remains solely liable to the Client for the proper performance of the contract. The Client shall be informed thereof on request.
13. Protection of Personal Data
MPS processes the Client's personal data in accordance with Monegasque applicable law of 03/12/2024 on the protection of personal data and, for residents of the European Union, Regulation (EU) 2016/679 (GDPR). The data are used solely for the purposes of performing the contract, invoicing, quality monitoring and regulatory compliance (mandatory biocide register). They are retained for twelve (12) months for enquiries that do not result in a contract, and for ten (10) years for contractual data (accounting and biocide traceability obligations). The Client has rights of access, rectification, erasure, restriction of processing, objection and portability, which may be exercised by email to contact@monacopestsolutions.mc. Complaints may be lodged with the APDP Monaco (apdp.mc) or, for EU residents, with the CNIL (cnil.fr).
14. Confidentiality
Each party undertakes to preserve the confidentiality of information obtained in connection with the contract, throughout its term and for five (5) years after its expiry. MPS operates by default a discreet mode of communication for its prestige clients (unmarked vehicles on request, neutral attire, NDA available on request).
15. Term
A one-off service entails no contractual term and no tacit renewal. It is deemed completed upon conclusion of the intervention and delivery of the intervention report to the Client.
16. Amendment of the GTC
MPS reserves the right to amend these GTC at any time in respect of future services. Amendments are published on the website www.monacopestsolutions.mc. For an annual contract in the course of performance, any substantial amendment shall be notified to the Client at least three (3) months before it takes effect; the Client may then terminate the contract free of charge within thirty (30) days of the notification. The version applicable to a signed quotation is that in force on the date of signature.
17. Intellectual Property
Documents produced by MPS (protocols, reports, trap and monitoring plans, photographs, methodologies, software, client portal, website content) remain the exclusive property of MPS. The Client is granted a personal right of use limited to its internal needs for the term of the contract. Any reproduction, distribution or commercial use is prohibited without prior written authorisation.
18. Governing Law and Jurisdiction
These GTC are governed by Monegasque law. Any dispute falls within the exclusive jurisdiction of the courts of the Principality of Monaco. The parties undertake to seek an amicable resolution beforehand, in particular by way of a written complaint addressed to contact@monacopestsolutions.mc.
